Information about Bank's Reorganisation

Pursuant to Art. 23.5 of Federal Law No. 395-I “On Banks and Banking Activities” dated 02.12.1990 Closed Joint-Stock Company “COMMERZBANK (EURASIJA)” (short name–“COMMERZBANK (EURASIJA)” SAO, License of the Bank of Russia No. 3333, OGRN 1027739070259, INN 7710295979, KPP 775001001, with principal place of business at: 119017, Moscow, 14/2, Kadashevskaya Nab.) and Dresdner Bank Closed Joint-Stock Company (short name– Dresdner Bank ZAO, General License of the Bank of Russia No. 2455, OGRN 1027800000788, INN 7831000901, KPP 783501001; with principal place of business at: 190000, Saint Petersburg, 23, Malaya Morskaya St.) inform that the sole shareholder of “COMMERZBANK (EURASIJA)” SAO (resolution No. 28/2010 dated July 15, 2010) and the sole shareholder of Dresdner Bank ZAO (resolution No. 3/10 dated July 01, 2010) resolved to reorganize “COMMERZBANK (EURASIJA)” SAO and Dresdner Bank ZAO respectively.

The reorganization will be carried out in a form of accession of Dresdner Bank ZAO to “COMMERZBANK (EURASIJA)” SAO. As a result of the reorganization, all rights and obligations of Dresdner Bank ZAO will be transferred to “COMMERZBANK (EURASIJA)” SAO.

With the account of the established time for the carrying out of the reorganizational procedures, the approximate date for the completion of the accession of Dresdner Bank ZAO to “COMMERZBANK (EURASIJA)” SAO is September 24, 2010.

“COMMERZBANK (EURASIJA)” SAO having licenses for the banking activities in Roubles and foreign currencies as well as being the participant of the deposit insurance system carries out the following bank transactions in Roubles and foreign currencies:

• accepting funds of individuals and legal entities to deposits (demand and time deposits);
• placement of accepted deposits (demand and time deposits) of individuals and legal entities on its own behalf and at its own expense;
• opening and closing of bank accounts of individuals and legal entities;
• settlements under instructions of individuals and legal entities including correspondent banks on their bank accounts;
• collection of cash, promissory notes, payment and settlement documents and cash services for individuals and legal entities;
• cash and non-cash purchase and sale of foreign currencies;
• issue of bank guaranties;
• cash transfers under instructions of individuals without opening of bank accounts (except postal bank transfers).

During the reorganization, the information on substantial facts (events, activities) concerning the financial and economic activities of “COMMERZBANK (EURASIJA)” SAO and Dresdner Bank ZAO will be published in a printed publication: “Financial News” bulletin (PRIME-TASS). The information on the reorganization development and its actual completion is also provided on the banks’ web sites www.commerzbank.ru and www.dresdner-bank.ru.

Upon the completion of the reorganization of Closed Joint-Stock Company “COMMERZBANK (EURASIJA)” (“COMMERZBANK (EURASIJA)” SAO), the name, principal place of business, bank details, and list of bank transactions of the reorganized bank shall remain unchanged.

Creditors’ claims may be submitted within 30 days from the date of publishing this notification:

• for creditors of “COMMERZBANK (EURASIJA)” SAO – to the address: 119017, Moscow, 14/2, Kadashevskaya Nab.,
• for creditors of Dresdner Bank ZAO – to the address: 190000, Saint Petersburg, 23, Malaya Morskaya St.
